经国务院同意,现将《利用外资固稳促优行动方案》印发给你们,请结合实际抓好贯彻落实。

利用外资固稳促优行动方案
为多措并举做好稳外资工作,推动利用外资固稳促优,经国务院同意,现制定如下行动方案。
一、扩大市场准入
(一)深化服务业领域开放。稳步扩大职业技能培训机构、职业院校、高水平理工农医类大学对外开放试点。支持北京提升国家服务业扩大开放综合示范区建设水平,推动数字经济、医药健康等现代服务业重点领域开放举措先行先试。推动全面升级内地与香港、澳门关于建立更紧密经贸关系的安排,在服务业领域加大对港澳投资者率先开放力度。
(二)稳步提升金融业开放水平。在完善监管协作和风险防控的前提下,支持更多外资机构利用包括国债期货在内的风险管理工具,加强金融风险管理。支持外资机构依法开展基金投资顾问业务。优化跨境业务管理,为重点外资企业提供跨境融资便利化额度。引导境内银行对大型外资企业推出“代客制单”国际结算单证服务。优化交易所上市申报前预沟通服务,支持符合条件的重点外资企业在境内上市融资。
(三)支持外资参与医药等产业高质量发展。抓紧研究出台药品分段生产实施细则,便利境外药品上市许可持有人开展生物制品、化学药品跨境分段生产。抓紧研究报批进一步扩大生物技术、外商独资医院领域开放试点区域范围。支持保险公司将更多创新药械纳入商业保险保障范围,持续鼓励优质创新药械进入我国市场。搭建行业协作平台,便利外资企业生产的药品进入药品零售渠道。
二、提升外商投资便利度
(四)完善外资并购管理制度。加快修订出台关于外国投资者并购境内企业的规定,优化并购管理流程和对价支付要求,强化部门监管协同。允许符合条件的外资股权投资机构以战略投资者身份参与非相关行业上市公司证券发行,更好发挥战略投资效能。
(五)优化数据跨境流动管理。支持自由贸易试验区、国家服务业扩大开放试点城市探索在更多领域制定场景化、字段级数据出境负面清单。推动制定工业、电信、地理信息、汽车、医药、种业、航天、民航等行业领域重要数据识别目录国家标准。
(六)促进外资境内再投资。落实境外投资者以分配利润直接投资税收优惠政策,确保政策红利精准释放。将更多外资企业再投资项目纳入重大和重点外资项目清单,拓宽服务保障范围。
(七)大力吸引外资企业在华设立研发中心。完善外资研发中心支持政策,便利外籍高层次人才引进,支持设立开放式创新平台和实训基地、发展新型研发机构,加大创新成果转化支持力度,依法享受进口科研用品税收优惠政策。
三、提高投资促进水平
(八)强化“投资中国”品牌影响力。推动“投资中国”品牌行动,健全品牌联动实施机制,办好中国国际投资贸易洽谈会等。探索建立外商投资数字综合服务平台,建设融信息归集、办事咨询、专业支持、互动反馈等于一体的“投资中国”门户网站。开展“投资中国”境内外专项宣传,针对性加强涉企政策解读和宣介,强化“机遇中国”“世界相信中国”“全球合作共赢”叙事。
(九)统筹做好外资项目规范招引。加快出台地方政府招商引资鼓励和禁止事项清单。省级人民政府可按规定对相关领域引资项目给予支持措施。加强工作指导,提高政策执行统一性。政府部门要严格兑现依法作出的政策承诺,做到重信守约。用好外经贸发展专项资金,促进外商投资。及时总结外商投资促进成效评价试点省份试点经验,适时向全国推广,引导各地科学评价外资领域招商引资成效。
四、健全外商投资服务保障体系
(十)全面落实外资企业国民待遇。加大保障外资企业国民待遇工作力度。除法律法规有明确规定或涉及国家安全领域外,各领域制定的涉企支持政策对外资企业一视同仁、平等适用。在政府采购、招标投标等领域严格落实公平竞争审查制度,加强对相关领域有关规章、规范性文件、政策措施的公平竞争审查。高校院所、科研机构等开展的采购活动应保障外资企业平等参与。
(十一)支持外资企业参与提振消费行动。支持外资企业充分参与绿色消费、国际消费中心城市建设等促消费工作,不得以外资品牌产品、外资企业为由,排斥符合条件的产品或服务适用各类促消费支持政策。
(十二)优化营商网络环境。建立健全涉企网络侵权举报联动机制,优化举报处置流程,发布涉企网络侵权信息线上举报渠道相关指引,维护外资企业网络合法权益。
(十三)强化重大和重点外资项目服务保障。加强对中西部地区外资项目保障力度。强化外资企业经营堵点问题“线索收集-问题办理-情况反馈”全过程闭环管理,适时通报典型案例。
五、优化外资管理
(十四)推动区域引资协同。支持东部地区与边境地区开展结对共建,在招商引资、产业转移、收益分成等方面深化合作,便利外资企业在华区域布局。支持边(跨)境经济合作区等以资本和产业为纽带,与国内其他地区、周边国家共建园区,推进规划建设、投资合作与招商协同。
(十五)提升外商投资管理信息化水平。全面优化外商投资信息报告制度,健全信息报告直报渠道,确保外商投资信息真实、准确、完整。健全外商投资信息共享机制,为外汇登记、行政许可、固定资产投资等领域外资管理提供支撑。
各地区、各有关部门要坚决落实党中央、国务院决策部署,提高政治站位,综合施策、形成合力,坚定不移扩大高水平对外开放,抓好各项政策措施落地见效,全力实现利用外资固稳促优目标。商务部要会同国家发展改革委、财政部等有关方面加强统筹协调、宣传指导,推动各项举措落实并及时评估进展成效。重大事项及时按程序请示报告。
Ministry of Commerce National Development and Reform Commission Ministry of FinanceTo stabilize and optimize the utilization of foreign investment through multiple measures,and to ensure effective work on stabilizing foreign investment, the following action plan ishereby formulated with the approval of the State Council.01
I. Expanding Market Access
(1).Deepening the opening up of the services sector. We will steadily expand pilot programs for the opening up of vocational skills training institutions, vocational colleges, and highlevel universities in science, engineering, agriculture, and medicine. We will support Beijingin elevating the development level of the National Comprehensive Demonstration Zone forExpanding Opening Up in the Services Sector, and promote the trial implementation ofopening up measures in key areas of modern services such as the digital economy, as well aspharmaceuticals and health. We will promote the comprehensive upgrading of the Mainlandand Hong Kong Closer Economic Partnership Arrangement (CEPA) and the Mainland andMacao CEPA, and expand opening up of the services sector to investors from Hong Kongand Macao on a priority basis.(2).Steadily raising the level of financial sector opening up. On the premise of improving regulatory collaboration and risk prevention and control, we will support more foreigninvested institutions in utilizing risk management tools including government bond futures tostrengthen financial risk management. We will support foreign-invested institutions inconducting fund investment advisory business in accordance with the law. We will optimizecross-border business management and provide cross-border financing facilitation quotas forkey foreign-invested enterprises (FIEs). We will guide domestic banks in launchingdocument preparation services for customers in international settlements for large FIEs. Wewill optimize pre-communication services for exchange listing applications and supporteligible key foreign-invested enterprises in their listing and financing activities in China.(3).Supporting foreign investment in the high-quality development of the pharmaceutical and other industries. We will expedite the study and promulgation of implementation rules for segmented drug production to facilitate cross-border segmented production of biological products and chemical drugs by overseas drug marketing authorization holders. We will promptly study and submit for approval the plan to further expand the scope of pilot regions for opening up in biotechnology and wholly foreign-owned hospitals. We will support insurance companies in including more innovative drugs and medical devices in commercial insurance coverage, and continue to encourage high-quality innovative drugs and medical devices to enter the Chinese market. We will establish industry collaboration platforms to facilitate the entry of drugs produced by FIEs into retail channels.II. Enhancing Foreign Investment Facilitation(4).Improving the management system for foreign-invested mergers and acquisitions. We will accelerate the revision and promulgation of rules on mergers and acquisitions of domesticenterprises by foreign investors, optimize the merger and acquisition management processand consideration payment requirements, and strengthen inter-departmental regulatorycoordination. We will allow eligible foreign equity investment institutions to participate, asstrategic investors, in securities issuance by listed companies in non-related industries,thereby better leveraging the effectiveness of strategic investments.(5). Optimizing the management of cross-border data flows. We will support pilot free trade zones and national pilot cities for expanding opening up in the services sector in exploringthe formulation of scenario-based, field-level negative lists for outbound data transfers inmore areas. We will promote the development of national standards for important dataidentification catalogs in sectors such as industry, telecommunications, geographicinformation, automotive, pharmaceuticals, seed industry, aerospace, and civil aviation.(6).Promoting domestic reinvestment by foreign investors. We will implement the tax preferential policies for overseas investors making direct investments with distributed profits,ensuring the effective delivery of policy dividends as intended. We will include morereinvestment projects by FIEs in the lists of major and key foreign-invested projects, andbroaden the scope of service guarantees.(7).Vigorously attracting FIEs to establish R&D centers in China. We will improve support policies for foreign-invested R&D centers, facilitate the introduction of high-level foreign talent, support the establishment of open innovation platforms and practical training bases as well as the development of new types of R&D institutions, strengthen support for the commercialization of innovations, and grant tax preferential policies for imported scientific research supplies in accordance with the law.III. Improving the Level of Investment Promotion(8).Strengthening the influence of the “Invest in China” brand. We will advance the “Invest in China” initiative, improve the mechanism for brand interaction, and ensure the smoothhosting of the China International Fair for Investment and Trade and other events. We willexplore to establish a comprehensive digital service platform for foreign investment, andbuild an “Invest in China” portal website that integrates information aggregation, servicesconsultation, professional support, and interactive feedback. We will also conduct dedicateddomestic and overseas promotional campaigns under the “Invest in China” initiative,strengthen targeted policy interpretation and outreach for enterprises, and reinforce thenarratives of “Opportunity China”, “The World Believes in China”, and “Global Win-WinCooperation”.(9).Coordinating and standardizing the attraction of foreign-invested projects. We will move faster to issue the lists of items encouraged and prohibited in the investment promotion work by local governments. People’s governments at the provincial level may, in accordance with regulations, provide supporting measures for foreign-invested projects in relevant areas. Guidance on carrying out such work will be strengthened to improve the consistency of policy implementation. Government departments must strictly honor policy commitments made in accordance with the law and keep their promises. We will make good use of special funds for foreign trade and economic development to promote foreign investment, summarize in a timely manner the experiences of provinces carrying out pilot initiatives to evaluate the effectiveness of foreign investment promotion, and extend these experiences nationwide when appropriate, so as to guide localities in rationally evaluating the effectiveness of foreign investment promotion and business attraction.IV. Improving the System of Services and Support for Foreign(10).Fully implementing national treatment for FIEs. Efforts will be enhanced to ensure national treatment for FIEs. Unless otherwise explicitly required by laws and regulations orinvolving national security, enterprise-related support policies formulated in all fields shallapply equally to FIEs. The fair competition review system will be strictly implemented inareas such as government procurement and bidding, and the fair competition review ofrelevant rules, normative documents, and policy measures will be strengthened. Procurementactivities conducted by universities, research institutes and other institutions shall ensure theequal participation of FIEs.(11).Supporting FIEs in participating in consumption-boosting initiatives. We will support FIEs’ full participation in pro-consumption initiatives such as green consumption and thedevelopment of international consumption center cities. No eligible product or service shallbe excluded from pro-consumption support policies on the grounds that it is from a foreignbrand or an FIE.(12).Optimizing the online business environment. We will establish and improve a coordinated mechanism for reporting cyber infringements against enterprises, optimize thereporting and handling process, publish guidelines for online reporting channels forenterprise-related cyber infringement information, and safeguard the legitimate rights andinterests of FIEs in cyberspace.(13).Strengthening services and support for major and key foreign-invested projects. We will step up support for foreign-invested projects in the central and western regions. In response to the operational difficulties of FIEs, we will reinforce the closed-loop management covering the whole process of “clue collection, issue handling, and result feedback”, and release typical cases in a timely manner.V. Optimizing Foreign Investment Management(14).Promoting coordinated investment promotion efforts across different regions. Support will be given to the pairing of eastern regions with border regions to deepen cooperation ininvestment promotion, industrial transfer, and revenue sharing, so as to facilitate the regionaldistribution of FIEs in China. We will also support border (cross-border) economiccooperation zones and other zones in jointly building parks with other domestic regions andneighboring countries through capital and industrial ties, advancing planning andconstruction, investment cooperation, and investment promotion coordination.(15).Enhancing the level of IT application in foreign investment management. We will comprehensively optimize the foreign investment information reporting system, improve direct reporting channels, and ensure the authenticity, accuracy and completeness of foreign investment information. The foreign investment information sharing mechanism will be improved to support foreign investment management in areas such as foreign exchange registration, administrative licensing, and fixed-asset investment. All local authorities and relevant departments shall resolutely implement the decisions and plans of the CPC Central Committee and the State Council, raise their political awareness, adopt comprehensive measures to form synergies, unswervingly expand high-standard opening up, ensure the effective implementation of various policies and measures, and make every effort to achieve the goal of stabilizing and optimizing the utilization of foreign investment. The Ministry of Commerce shall, together with the National Development and Reform Commission, the Ministry of Finance, and other relevant departments, strengthen overall coordination and publicity guidance, advance the implementation of various measures, and promptly evaluate progress and results. Major matters shall be reported in a timely manner in accordance with established procedures.
